Welcome to Peridot. These Terms and Conditions ("Terms") govern your access to and use of our website, services, and products (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
2. Services Description
Peridot provides web and mobile application development services with a focus on AI-powered solutions. Our Services include:
- Custom web application development
- AI integration and implementation
- MVP (Minimum Viable Product) development
- UI/UX design services
- Technical consulting and advisory
Specific deliverables, timelines, and project scopes are detailed in individual client agreements or statements of work.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.
4. Account Registration
Some features may require you to create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as needed
- Keep your account credentials confidential and secure
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
5. Payment Terms
5.1 Pricing
Our standard MVP development package is priced at $2,950 with a 7-day delivery timeline. Custom projects may have different pricing based on scope and requirements.
5.2 Payment Processing
- All payments are processed securely through Stripe
- Payment is required before project commencement
- Prices are in USD unless otherwise specified
- All sales are final unless otherwise stated
5.3 Refund Policy
We offer a 100% money-back guarantee if we fail to meet the agreed-upon delivery deadline. Refund requests must be submitted within 14 days of the missed deadline. Refunds are processed within 10 business days.
6. Intellectual Property Rights
6.1 Client Ownership
Upon receipt of full payment, the client retains 100% ownership of:
- All custom source code developed for the project
- Design files and visual assets created specifically for the client
- Project documentation and deliverables
6.3 Third-Party Components
Projects may include open-source libraries, frameworks, or third-party services subject to their respective licenses. We ensure all third-party components are properly licensed and documented.
6.3 Peridot Property
Peridot retains ownership of:
- Our proprietary development tools, templates, and methodologies
- Website content, branding, and marketing materials
- General knowledge and expertise gained during projects
7. Client Responsibilities
Clients agree to:
- Provide timely feedback, information, and materials needed for project completion
- Respond to requests for clarification within 48 hours during active projects
- Review and approve deliverables according to agreed timelines
- Ensure all provided content does not infringe on third-party rights
- Maintain appropriate backups of delivered code and assets
8. Project Timeline and Delivery
We strive to meet all agreed-upon deadlines. However, timelines may be affected by:
- Delays in client feedback or material provision
- Significant scope changes requested by the client
- Third-party service outages or technical issues
- Force majeure events (natural disasters, pandemics, etc.)
We will communicate any anticipated delays promptly and work to minimize impact on project delivery.
9. Warranties and Disclaimers
9.1 Service Warranty
We warrant that services will be performed with reasonable care and skill in accordance with industry standards. Code will be functional and meet specifications outlined in the project agreement.
9.2 Disclaimer
EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.3 No Guarantee of Results
We do not guarantee specific business outcomes, user adoption rates, revenue generation, or other commercial success metrics.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERIDOT SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- DAMAGES ARISING FROM USE OR INABILITY TO USE DELIVERABLES
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Peridot, its officers, employees, and contractors from any claims, damages, or expenses arising from:
- Your use of the delivered products or services
- Your breach of these Terms
- Content you provide that infringes on third-party intellectual property rights
- Your violation of applicable laws or regulations
12. Confidentiality
Both parties agree to maintain confidentiality of proprietary information disclosed during the course of engagement. This obligation survives for 3 years after project completion.
Confidential information excludes information that:
- Is or becomes publicly available through no breach of this agreement
- Was rightfully possessed prior to disclosure
- Is independently developed without use of confidential information
- Must be disclosed by law or court order
13. Termination
13.1 By Client
Clients may terminate projects with written notice. Fees for completed work are non-refundable. Any remaining balance may be refunded at our discretion.
13.2 By Peridot
We reserve the right to terminate services if:
- Client breaches these Terms
- Payment is not received when due
- Client fails to provide necessary cooperation or materials
- Continuation would violate laws or regulations
14. Changes to Services and Terms
We reserve the right to modify or discontinue Services with or without notice. We may update these Terms periodically. Continued use after changes constitutes acceptance of the revised Terms.
15. Dispute Resolution
15.1 Informal Resolution
We encourage resolving disputes informally by contacting us at legal@peridot.dev. We will attempt to resolve issues within 30 days.
15.2 Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will be conducted in English.
15.3 Class Action Waiver
You agree to pursue claims individually and waive the right to participate in class actions or representative proceedings.
16. Governing Law
